Terms of Service

1. Acceptance of Terms

By accessing or using any product or service provided by Merakey Technologies Corp. ("Merakey"), including Meridian and Sentinel, you agree to be bound by these Terms of Service. If you do not agree, do not use our products.

2. Services

Merakey provides:

  • Meridian: Automated QAM compliance scanning for Ontario developmental services agencies. Meridian accesses Home Portal data in read-only mode and generates compliance reports.
  • Sentinel: Self-hosted AI agent platform for healthcare organizations. Sentinel provides AI chatbot agents that can be trained on customer-provided content and deployed across multiple channels.

3. Your Responsibilities

  • You are responsible for obtaining proper authorization before granting Meridian access to your agency's data.
  • You are responsible for the accuracy and appropriateness of content used to train your Sentinel AI agent.
  • You must not use our products for any unlawful purpose or in violation of applicable healthcare regulations.
  • You must keep your account credentials secure and notify us of any unauthorized access.

4. Data Ownership

You retain ownership of all data you provide to us, including compliance data, training content, and conversation logs. Merakey does not claim ownership of your data. We access and process your data solely to provide and improve the services you have subscribed to.

5. Service Availability

We aim to provide reliable service but do not guarantee 100% uptime. Compliance reports are informational tools and do not constitute legal or regulatory advice. You should not rely solely on Meridian reports for audit preparation.

6. Pricing and Payment

Pricing is as listed on our website and may change with 30 days notice. Free tier services are provided at our discretion and may be modified or discontinued. Paid subscriptions are billed monthly and may be cancelled with 30 days notice.

7. Limitation of Liability

To the maximum extent permitted by law, Merakey shall not be liable for any indirect, incidental, or consequential damages arising from your use of our products. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

8. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, we will provide you with your data in a standard format and delete our copies within 90 days, unless retention is required by law.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
